SEC Company Registration and Monitoring Department Director
Del Rosario described the SEC office that keeps corporate filings and records. He said the department located, printed and certified requested corporate documents before they were transmitted to the House of Representatives.
On Metro City Chow Food Corporation, Del Rosario testified that the SEC filings listed Vice President Sara Duterte as an incorporator and director, with a 20-percent subscription, and later as a board and executive-compensation-committee member.
When asked about GenCorp Industries, Del Rosario said the Vice President's name did not appear in the articles of incorporation or subsequent general information sheets as an incorporator, director or stockholder. He also said his department had no access to the beneficial-ownership forms discussed in the questioning.
Del Rosario gave a general explanation that nominee or trust arrangements can occur, but said the SEC submissions discussed could not establish a party's intent. After direct examination, the court allowed the defense to begin cross-examination the next day so it could review new documents.
